Promotion Terms and Conditions

S.R.L. “EDENVOR”, as the seller and administrator of the Eurosanteh.md store, periodically organizes promotions, special offers and commercial campaigns under which customers may receive gifts, additional products or other commercial benefits.

For the purpose of providing customers with correct and transparent information, the general principles governing the organization and application of the company’s promotions are explained below.

A promotion is a commercial offer subject to specific terms and conditions

Each promotion organized by S.R.L. “EDENVOR” has its own terms and conditions of participation, which may include, in particular:

• the promotional period;
• the products or models participating in the promotion;
• the price at which the product must be purchased;
• the gift or benefit provided;
• the method of payment;
• limitations based on the availability of products or gifts in stock;
• the inability to combine the promotion with other discounts or offers;
• other special conditions applicable to the respective promotion.

Therefore, the availability of a gift or another promotional benefit does not mean that it is provided automatically with every purchase of the respective product.

The right to receive a gift arises only when all promotional terms and conditions published by the seller are fulfilled.

The promotional price and the gift constitute a single offer

If the terms of a promotion provide that a specific product purchased at a specific price is accompanied by a gift, the price and the gift are integral parts of the same commercial offer.

For example:

Product — 20,000 lei + gift.

In such a situation, the customer receives the gift if the product is purchased at the price of 20,000 lei and all other promotional conditions are fulfilled.

If, at the customer’s request or as a result of individual negotiations, the seller grants an additional discount and the product is sold, for example, for 16,000 lei, the conditions of the original promotional offer are no longer fulfilled.

In this case, the customer receives a different commercial benefit — an individually agreed price discount — and the gift provided for purchases made at the promotional price is not granted unless the Promotion Rules expressly provide otherwise.

Promotions are not automatically combined with other discounts

Unless the Rules of a specific promotion expressly provide otherwise, S.R.L. “EDENVOR” may establish that a promotional offer cannot be combined with:

• additional discounts;
• individually negotiated prices;
• other promotions;
• vouchers or coupons;
• promotional codes;
• special prices;
• purchases made in installments or on credit;
• financing programs or customer cards subject to special commercial conditions;
• prices offered to partners, dealers or contractual customers.

Accordingly, the customer may benefit either from the promotional offer under the published conditions or from another commercial offer agreed upon or available at the time of purchase, if the Promotion Rules establish that the respective benefits cannot be combined.

Legal basis

The commercial terms and conditions established by S.R.L. “EDENVOR” are applied in accordance with the legislation of the Republic of Moldova.

Civil Code of the Republic of Moldova

Under the principle of freedom of contract, the parties are entitled to freely determine the content of their contractual relations within the limits of the mandatory provisions of the law.

Article 667 of the Civil Code of the Republic of Moldova provides that the parties may freely enter into contracts and determine their content within the limits established by law.

At the same time, the rules governing offers provide that an offer must be clear, definite and sufficiently specific.

These principles allow the seller to establish the terms and conditions of a promotion in advance — including the participating product, price, promotional period and conditions for granting the gift — subject to compliance with consumer protection legislation.

Law No. 105/2003 on Consumer Protection

S.R.L. “EDENVOR” complies with the provisions of Law No. 105/2003 on Consumer Protection, including the requirements concerning proper consumer information and the prohibition of unfair or misleading commercial practices.

Consumers must be provided, in a clear manner, with material information capable of influencing their purchasing decision.

For this reason, the terms and conditions of promotions are published by S.R.L. “EDENVOR” and must be considered together with the specific commercial offer.

Law No. 231/2010 on Internal Trade

Commercial activities and reduced-price offers are also regulated by Law No. 231/2010 on Internal Trade.

The legislation establishes requirements concerning the manner in which discounts are displayed and requires sellers to provide consumers with clear, visible and unambiguous information regarding the prices applied.

An advertised discount must correspond to the discount actually applied, and commercial information must not mislead the customer.

Government Decision No. 206/2023

The manner in which prices of goods offered to consumers are indicated is also regulated by Government Decision No. 206/2023 approving the regulations and rules on internal trade.

According to the Regulation on the manner of indicating prices, prices must be displayed clearly, visibly and in a form that allows consumers to determine the price of a product without difficulty.

When announcing a price reduction, the legislation also establishes rules for determining and indicating the reference price.

Practical example

If a promotion organized by S.R.L. “EDENVOR” provides:

Product — 20,000 lei + gift.

then a customer who purchases the product at the established price of 20,000 lei and fulfills all other promotional conditions receives the specified gift.

If the same customer is granted an additional discount as a result of negotiations and the product is sold for 16,000 lei, the customer benefits from the agreed reduced price, while the gift provided under the offer at the price of 20,000 lei is not granted because the price condition established by the promotion is no longer fulfilled.

By accepting the agreed reduced price, the customer accepts the commercial offer corresponding to that price.

Before making a purchase, we recommend reviewing the specific terms and conditions of the relevant promotion.

The terms and conditions of a promotion apply exclusively in the form and during the period specified in the Promotion Rules, as well as subject to stock availability where such a limitation is provided for in the respective offer.
